Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Tooleo platform, including the Tooleo website (tooleo.co), applications, communications, and related services (collectively, the "Service").
The Service is operated by Tooleo, LLC ("Tooleo," "we," "us," or "our").
By accessing or using the Service, creating an account, listing tools or equipment, requesting or completing a rental, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Overview of the Service
Tooleo provides an online marketplace that allows users to list, discover, request, book, and pay for rentals of tools, equipment, and related items. In these Terms:
- "Host" means a user who lists tools or equipment for rent.
- "Renter" means a user who requests or rents tools or equipment through the Service.
- "Listing" means a posted offer for tools or equipment.
- "Rental" means a booking, reservation, or completed rental transaction made through the Service.
- "User Content" means any text, photos, descriptions, reviews, messages, profile information, or other content submitted by a user.
- "Rental Agreement" means any separate rental agreement, waiver, checkout form, claim policy, protection-program terms, or similar agreement that applies to a specific rental or category of rentals.
Tooleo is a platform provider. Except where we expressly say otherwise, we are not the owner of listed items, not the supplier of listed items, and not a party to the rental contract between a Host and a Renter.
2. Eligibility
You may use the Service only if:
- you are at least 18 years old;
- you are capable of forming a binding contract;
- you are not prohibited from using the Service under applicable law; and
- you comply with these Terms and all applicable laws, regulations, and safety requirements.
If you use the Service on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.
3. Account Registration and Security
To use certain features of the Service, you must create an account and provide accurate, current, and complete information. You agree to keep your account information updated.
You are responsible for:
- safeguarding your login credentials;
- all activity that occurs under your account; and
- notifying us promptly if you suspect unauthorized access or use.
We may suspend, limit, or terminate accounts that are inaccurate, misleading, fraudulent, unsafe, unlawful, inactive for extended periods, or otherwise in violation of these Terms.
4. Identity Verification and Screening
We may require identity verification before you may access certain features of the Service, including listing items, requesting rentals, receiving payouts, or completing bookings.
Identity verification may include collection or review of information such as:
- your legal name;
- date of birth;
- address;
- phone number or email;
- government-issued identification;
- a selfie, face scan, or similar liveness check; and
- related fraud-prevention or risk signals.
We may use third-party providers to perform identity verification, payments, fraud screening, or related trust and safety functions.
Identity verification or screening does not constitute an endorsement, guarantee, certification, background check, or warranty that any user is trustworthy, qualified, safe, or compliant with law.
5. Marketplace Role; No Agency; No Endorsement
Tooleo provides a venue for Hosts and Renters to connect. Unless expressly stated otherwise:
- Hosts, not Tooleo, decide which items to list, how to describe them, when they are available, and at what price they are offered.
- Renters, not Tooleo, decide which items to request or rent.
- Tooleo does not control, inspect, manufacture, maintain, repair, transport, store, supervise, or operate listed items.
- Tooleo is not an employer, agent, partner, insurer, guarantor, or representative of any Host or Renter.
- Tooleo does not guarantee that any listing is accurate, lawful, safe, available, functional, suitable, or free from defects.
Any ratings, reviews, badges, verification labels, or trust-and-safety measures are informational only and do not create a warranty, endorsement, or assumption of liability by Tooleo.
6. Host Responsibilities
If you are a Host, you represent, warrant, and agree that:
- you have the legal right to list and rent the item;
- the item is accurately described and shown in current photos;
- the item is in safe, working condition for its intended use, ordinary wear excepted as disclosed;
- you will clearly disclose known defects, limitations, missing parts, hazards, operating requirements, and any special instructions;
- you will not list stolen property, counterfeit goods, unlawful items, or items you do not have the right to rent;
- you will comply with all applicable laws, including any laws related to ownership, rental activity, taxes, business licensing, and consumer protection;
- you will honor confirmed bookings except where cancellation is permitted;
- you will communicate reasonably and in good faith with Renters; and
- you will not encourage or require off-platform payments, deposits, waivers, or side deals unless expressly permitted by Tooleo.
You are solely responsible for the condition, legality, maintenance, storage, security, and suitability of your listed items.
7. Renter Responsibilities
If you are a Renter, you represent, warrant, and agree that:
- you will use rented items only for lawful purposes and in accordance with all instructions, warnings, and applicable laws;
- you have the skill, knowledge, training, and physical ability needed to use the rented item safely;
- you will inspect the item at pickup and document its condition with timestamped photos before use; you will not use the item if it appears unsafe, damaged, defective, or unsuitable;
- you will not allow use of the item by anyone not authorized by the Host or Tooleo;
- you will not misuse, abuse, modify, disassemble, sub-rent, sell, pledge, abandon, or conceal the item;
- you will return the item on time, in substantially the same condition as received, normal wear and tear excepted unless otherwise stated in the applicable Rental Agreement;
- you are responsible for loss, theft, damage, excessive dirt, missing parts, late return, improper use, and unauthorized possession during your rental period, subject to applicable law and the applicable Rental Agreement; and
- you will promptly report any malfunction, accident, injury, loss, theft, or damage involving the item, and in any case no later than 24 hours after the incident or the end of the rental period, whichever comes first.
8. Prohibited Items and Prohibited Conduct
You may not use the Service to post, rent, request, or facilitate any unlawful, unsafe, deceptive, or prohibited transaction.
Without limitation, the following are prohibited:
- stolen items or items you do not have authority to rent;
- illegal goods or services;
- firearms, ammunition, explosives, or other inherently prohibited weapons;
- controlled substances or illegal drugs;
- counterfeit goods or items that infringe intellectual property rights;
- heavy machinery, licensed equipment, or items whose lawful rental requires permits, licensing, inspection, insurance, or regulatory compliance not satisfied by the user;
- items subject to active recall, stop-use notices, or known safety defects that have not been properly remedied;
- content that is false, misleading, defamatory, obscene, discriminatory, threatening, or invasive of privacy;
- spam, phishing, malware, scraping, or interference with the Service;
- attempts to circumvent the platform, including off-platform payments or fee avoidance;
- impersonation, fraud, chargebacks in bad faith, or identity misrepresentation; and
- use of the Service in a way that could create unreasonable risk of injury, property damage, or legal liability.
We may remove listings or content, cancel transactions, withhold payouts, issue refunds, or suspend or terminate accounts in our sole discretion if we believe a violation or risk exists.
9. Listings, Availability, and Booking Terms
Hosts are responsible for keeping listings accurate, including item descriptions, photos, pricing, availability, pickup details, operating requirements, and restrictions.
A booking is not binding until it is confirmed through the Service. We may cancel or refuse bookings for reasons including suspected fraud, listing errors, safety concerns, payment failure, policy violations, legal risk, or unavailability.
Listings may contain errors, omissions, or outdated information. Tooleo does not guarantee the accuracy of listing details, pricing, or availability.
10. Fees, Payments, Taxes, and Payouts
Tooleo may charge service fees, processing fees, trust-and-safety fees, late fees, claim-related charges, taxes, or other charges disclosed on or before checkout or otherwise permitted by these Terms or the applicable Rental Agreement. Service fees are non-refundable except where required by applicable law or expressly stated otherwise at the time of payment.
By submitting payment information, you authorize Tooleo and its payment processors to:
- charge your payment method for rental fees, service fees, taxes, extensions, late fees, damage-related charges, claim amounts, penalties, or other authorized amounts; and
- place holds, reserves, or preauthorizations where applicable.
Hosts authorize Tooleo and its payment processors to collect amounts owed, deduct applicable fees, offsets, refunds, chargebacks, reserves, or claim amounts, and remit net payouts.
Users are responsible for taxes that apply to their use of the Service, rentals, listings, income, or transactions, except where Tooleo is required by law to collect or remit taxes directly.
11. Cancellations, Modifications, and Refunds
Cancellation and refund rules are described on the listing, at checkout, in platform policies, or in the applicable Rental Agreement. Renters should review the cancellation terms presented at the time of booking before confirming.
Unless otherwise stated:
- Renters may cancel subject to the cancellation terms presented at the time of booking.
- Hosts may not cancel confirmed bookings except for valid reasons such as documented emergencies, safety concerns, or as otherwise permitted by Tooleo. Hosts who cancel without a valid reason may be subject to penalties, reduced visibility, or payout withholding.
- Booking modifications, extensions, and partial refunds must be made through the Service when possible.
- Tooleo may issue credits, refunds, or partial refunds, or withhold payouts, if we determine in our discretion that a listing was materially inaccurate, unavailable, unsafe, fraudulent, or otherwise not provided as promised.
12. Damage, Loss, Claims, and User Disputes
Hosts and Renters are responsible for cooperating in good faith if there is a dispute involving condition, damage, theft, missing parts, lateness, cleaning, or non-delivery.
To support any claim, both Hosts and Renters are strongly encouraged to document the condition of items with timestamped photos at pickup and return. Damage or loss claims must be reported through the Service within 24 hours of the scheduled return time. Claims submitted outside this window may be denied at Tooleo's discretion.
Tooleo may, but is not obligated to, assist with claims, disputes, charge reversals, evidence collection, or resolutions. If we do so, you agree to cooperate and provide timely, accurate information, photos, receipts, repair estimates, replacement estimates, and other supporting materials.
We may determine, in our discretion, whether to:
- charge a Renter;
- withhold or reverse a payout;
- issue a refund;
- deny a claim;
- remove a listing;
- suspend an account; or
- take any other action we believe is appropriate.
Any protection program, guarantee, reimbursement feature, insurance-related feature, or trust-and-safety program offered by Tooleo is subject to separate terms, eligibility rules, exclusions, and discretionary determinations, and may be changed or discontinued at any time.
13. Assumption of Risk; Safety Disclaimer
Tools and equipment can be dangerous and may cause serious injury, death, illness, or property damage. Risks may arise from, among other things, improper use, hidden defects, mechanical failure, lack of maintenance, electrical hazards, blades, heat, pressure, chemicals, project-site conditions, or user error.
By using the Service or participating in a rental, you understand and agree that:
- use of rented tools and equipment involves inherent and unforeseeable risks;
- you voluntarily assume all risks arising from or related to the rental, pickup, possession, transportation, use, misuse, storage, or return of any item; and
- you are solely responsible for determining whether you can safely and lawfully use the item.
Tooleo does not provide professional, mechanical, electrical, construction, legal, or safety advice. Any instructions, descriptions, reviews, or communications provided through the Service are informational only.
14. Release
To the fullest extent permitted by law, you release Tooleo and its officers, directors, members, managers, employees, contractors, agents, affiliates, licensors, and service providers from claims, demands, damages, liabilities, losses, and expenses arising out of or related to:
- your use of the Service;
- your interaction with another user;
- any rental, listing, cancellation, dispute, damage claim, refund, injury, loss, theft, defect, malfunction, delay, or nonperformance; or
- any content or information provided by users or third parties.
If you are a California resident, you waive California Civil Code Section 1542, which says, in substance, that a general release does not extend to claims you do not know or suspect to exist in your favor at the time of executing the release.
15. User Content
You retain ownership of your User Content, but you grant Tooleo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use that User Content as needed to operate, improve, market, and protect the Service.
You are solely responsible for your User Content and represent that you have all rights necessary to post it and grant the license above.
We may remove or restrict User Content at any time if we believe it violates these Terms, applicable law, or our policies, or creates risk for the Service or others.
16. Intellectual Property
The Service, including its software, design, branding, text, graphics, logos, interfaces, and functionality, is owned by or licensed to Tooleo and is protected by intellectual property laws.
Except as expressly permitted by us, you may not copy, modify, distribute, sell, reverse engineer, scrape, frame, mirror, republish, or create derivative works from the Service.
17. Copyright Complaints
If you believe content on the Service infringes your copyright or other intellectual property rights, please contact us at support@tooleo.co with sufficient detail for us to investigate, including:
- identification of the work claimed to be infringed;
- identification of the allegedly infringing material and its location on the Service;
- your contact information;
- a statement of good-faith belief that the use is not authorized; and
- a statement made under penalty of perjury that your notice is accurate and that you are authorized to act.
We may remove or disable access to allegedly infringing content and may terminate repeat infringers where appropriate.
18. Third-Party Services
The Service may integrate with or rely on third-party services, including payment processors, identity verification providers, hosting providers, maps, communication tools, and form providers.
Those third parties are not controlled by Tooleo, and Tooleo is not responsible for their acts, omissions, availability, content, policies, products, or services. Your use of third-party services may also be subject to their separate terms and privacy policies.
19. Privacy
Your use of the Service is also subject to our Privacy Policy, available at tooleo.co/privacy.
20. Termination and Suspension
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, created risk or liability, engaged in fraud or abuse, failed identity or payment checks, or if we believe suspension is necessary for safety, legal, operational, or reputational reasons.
You may stop using the Service at any time. Termination does not affect rights or obligations that accrued before termination, including payment obligations, claim rights, dispute rights, indemnity obligations, and licenses granted under these Terms.
21. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLEO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, OR THAT THE SERVICE OR ANY LISTED ITEM WILL BE SAFE, ERROR-FREE, RELIABLE, AVAILABLE, LAWFUL, AUTHENTIC, OR SUITABLE FOR YOUR NEEDS.
WITHOUT LIMITING THE FOREGOING, TOOLEO DOES NOT WARRANT OR GUARANTEE:
- the conduct, identity, quality, qualifications, legality, or reliability of any user;
- the existence, condition, safety, quality, legality, or performance of any listed item;
- that any verification, screening, review, or rating is accurate or complete; or
- that the Service will be uninterrupted, secure, or free from bugs, malware, or errors.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOOLEO AND ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, PERSONAL INJURY, PROPERTY DAMAGE, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF TOOLEO FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF SERVICE FEES PAID BY YOU TO TOOLEO IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
23. Indemnification
You agree to defend, indemnify, and hold harmless Tooleo and its officers, directors, members, managers, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- your use of the Service;
- your listings, rentals, items, or User Content;
- your breach of these Terms or any Rental Agreement;
- your violation of law or the rights of any person or entity; or
- injury, death, property damage, loss, theft, fraud, or dispute arising from your acts or omissions.
24. Governing Law and Venue
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws principles.
To the extent permitted by law, any dispute arising out of or relating to these Terms or the Service that is not resolved informally must be brought exclusively in the state or federal courts located in Washington State, and you consent to the personal jurisdiction and venue of those courts.
Note: Tooleo operates in multiple states, including Colorado. Certain local laws may apply to users in those jurisdictions. This section should be reviewed by legal counsel to confirm enforceability and any required jurisdiction-specific disclosures.
25. Informal Dispute Resolution
Before filing a claim, you agree to first contact Tooleo at support@tooleo.co and attempt to resolve the dispute informally. If we cannot resolve the dispute informally within 30 days of written notice, either party may pursue available legal remedies, subject to these Terms.
26. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on the Service, updating the "Last updated" date, sending an email, or using other reasonable means.
Your continued use of the Service after updated Terms become effective means you accept the revised Terms.
27. General Terms
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision is not a waiver of that provision.
These Terms, together with the Privacy Policy, applicable Rental Agreement, and any policies or terms incorporated by reference, form the entire agreement between you and Tooleo regarding the Service.
You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
